Confidentiality and privacy are important to us. By completing this form, you will disclose information for the internal use of New Hampshire Business Sales, Inc. only. We DO NOT sell or otherwise share any of this information.

Confidentiality Agreement and Acknowledgments

WHEREAS, Associates of New Hampshire Business Sales, Inc. (Broker) may furnish to the UNDERSIGNED certain information and material relating to companies offered for sale or merger by the company for the purposes of exploring whether the UNDERSIGNED may desire to enter into a business relationship with such companies; and

WHEREAS, Broker may further allow the UNDERSIGNED the right to inspect the business and premises of companies offered for acquisition by the Broker and to interview, only with permission of the business owner, certain employees or representatives of such;

THEREFORE, BE IT KNOWN that the UNDERSIGNED may obtain, examine or inspect such information and material only for the purposes described above, and to otherwise hold such information and material in strict confidence pursuant to the following terms:

1. The UNDERSIGNED agrees to hold all such information and material in trust and confidence and agrees that such information or material shall not be disclosed to any third party, except to attorneys, accountants other professional advisors, potential partners/investors, provided however, that the UNDERSIGNED shall inform such parties (if any) that they shall also be bound by the terms hereof.

2. The UNDERSIGNED shall, however, have no obligation under this Agreement with respect to any information already known by the UNDERSIGNED or generally known within the industry prior to date of this Agreement, or which becomes common knowledge thereafter.

3. The UNDERSIGNED agrees that, when visiting the premises of a business covered by this Agreement, the undersigned will conceal any and all marketing materials provided by Broker or by the seller and will not openly discuss the business availability in the presence, or within earshot, of any customers, clients or employees, without permission of the seller.

4. The UNDERSIGNED acknowledges that the Broker has disclosed that Broker either has a listing agreement, or is a sub-agent of another broker who has such an agreement, in reference to any business about which information or material is being presented. The UNDERSIGNED agrees not to interfere with Broker's right to any accomplishment fees or commissions that Broker may be due under any such agreements.

5. It is agreed that neither the Broker nor the UNDERSIGNED shall disclose the existence or conditions of any discussions between them without the consent of the other, except to relevant professional advisors and, in the case of the Broker, to any relevant client to whom the Broker has a fiduciary responsibility.

6. The UNDERSIGNED also understands that Broker is an agent for and represents the Seller and legally represents only the interests of the seller, and that information provided by the Broker is believed to be accurate, but that Broker does not warrant or guarantee the accuracy in case of error or mistake. Undersigned understands that they should verify all information and seek the advice of appropriate professionals before signing any contractual agreement.

7. At the conclusion of discussions between the Broker and the UNDERSIGNED, or upon demand by the Broker, all information and material, including any and all copies made by the UNDERSIGNED, shall be immediately returned to the Broker.

8. This AGREEMENT shall be binding upon the UNDERSIGNED for a period of TWO (2) YEARS from the date of submission below.
